Require an NDA before recipients open files
Summary
Token lets you require NDA acceptance on the share page before recipients can enter the room password and decrypt files. Signers provide name, email, company, address, and signature; you get a record and optional signed copy. Access stays bounded to one room — not a whole drive.
Recipient flow in order
When NDA is enabled on a room, recipients see your agreement text, enter their details, confirm they read it, and sign (typed or drawn). Only after that can they unlock files with the room password.
Returning visitors can verify email with a one-time code if they already signed — they do not re-sign unless you rotate the agreement version.
- Step 1 — Identity (name, work email)
- Step 2 — Review full agreement text
- Step 3 — Sign with address and signature
- Step 4 — Enter room password to decrypt
What owners see
The manage view lists acceptances with signer name, email, company, and timestamp. You can restrict recipient emails to an invite list and optionally allow contributor uploads from approved addresses.
NDA text can be workspace-level template or room-specific. Rich text is supported for standard clauses.
Legal expectations
Token records who accepted and when, and can expose a downloadable copy to the signer. It is a practical gate for diligence and fundraising — not a replacement for counsel reviewing your agreement or jurisdiction-specific requirements.

Frequently asked questions
- Can I use my own NDA text?
- Yes. Paste or edit agreement text per room or set a workspace NDA template in settings.
- Do recipients need a Token account?
- No. They use the share link. Optional email verification helps returning recipients without creating a login.
- Is the NDA separate from file encryption?
- Yes. NDA is an access and identity gate. Files remain encrypted with the room password regardless of NDA settings.
- Can I turn NDA off for a room?
- Yes. NDA is optional per room at creation time.
